Terms of Service

Effective date: August 1, 2026

1. Acceptance of Terms

By accessing or using ModelPiper (the "Service"), including the web application, ToolPiper macOS companion app, and any related tools, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

ModelPiper is a local-first AI pipeline builder that lets you visually connect language models, vision models, text-to-speech engines, and other AI tools into workflows. ToolPiper is a macOS menu bar companion app that manages local AI tools, monitors health, and aggregates logs.

The Service is designed to run primarily on your local machine. Connections to third-party AI providers (such as OpenAI, Anthropic, or Ollama) are made at your discretion and governed by those providers' own terms.

3. Use of the Service

You may use the Service for lawful purposes in accordance with these terms. You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Reverse-engineer, decompile, or disassemble any part of the software beyond what is permitted by applicable law
  • Redistribute or sublicense the Service without prior written consent
  • Attempt to gain unauthorized access to any systems or networks connected to the Service
  • Use the Service to bypass, disable, or circumvent digital rights management (DRM), access controls, paywalls, encryption, or other technical protection measures on any content or service

The Service includes tools that can discover, save, download, or export media from web pages. When you use those tools, you are solely responsible for:

  • Holding the necessary rights, licenses, or permissions to the media you discover, save, or export
  • Complying with the terms of service of the website or source you obtained it from
  • Any copyright, trademark, or other intellectual-property obligations arising from your use of that media

4. Intellectual Property

ModelPiper, ToolPiper, VisionPiper, and all associated branding, code, and documentation are the intellectual property of ModelPiper and its contributors. The Service is licensed, not sold. This does not apply to the third-party models and open-source components described in Section 6, which remain the property of their respective owners and are licensed to you under their own terms.

You retain full ownership of all data, pipelines, workflows, prompts, and outputs you create using the Service. We claim no rights over your content.

5. Third-Party Services

The Service allows you to connect to third-party AI model providers and APIs. You are solely responsible for:

  • Obtaining and managing your own API keys
  • Complying with the terms of service of any third-party provider you use
  • Any costs incurred from third-party API usage
  • The content you send to and receive from third-party services

6. Bundled Models and Open-Source Components

Section 5 covers remote services you connect to. This section covers something different: AI models and open-source software that we ship inside the Service, or that the Service downloads to your machine at your request. Those components are licensed by their own authors, not by us. Their licenses apply to you directly and in addition to these terms, and where a component license conflicts with these terms, the component license controls for that component.

Some of those licenses carry obligations that we are required to pass on to you. Accepting these terms means accepting those obligations for the components you use. The components that carry such obligations, and the obligations themselves, are set out below.

ToolPiper includes an EmbeddingGemma tokenizer, and downloads EmbeddingGemma model bundles on request, including variants we have converted and fine-tuned ourselves. These are covered by the Google Gemma Terms of Use rather than by an open-source license such as Apache 2.0. The required notice reads:

Gemma is provided under and subject to the Gemma Terms of Use found at ai.google.dev/gemma/terms.

By using EmbeddingGemma or any model derived from it through the Service, you agree that:

  • Your use is governed by the Gemma Terms of Use, which are incorporated into these terms by reference. You should read them in full at that link.
  • You will not use these models for any purpose restricted by the Gemma Prohibited Use Policy, and you will not use them in violation of applicable law. This is an enforceable provision of these terms, and violating it is a breach of your agreement with us.
  • If you redistribute these models, or any product or service containing them, you will impose these same restrictions on your recipients, give them a copy of the Gemma Terms of Use, and include the notice above.
  • Google reserves the right under those terms to restrict use of Gemma that it reasonably believes violates them. The models run locally on your machine, and neither ToolPiper nor ModelPiper reports your use of them to Google.

The EmbeddingGemma files we distribute are modified. The base model has been converted to Apple Core ML format, and the tool-retrieval variant is additionally fine-tuned by us. These modifications are ours alone. Google did not produce, review, or endorse them, and the files we distribute are not the original Google release.

Gemma is a trademark of Google LLC. We use the name only to identify which model the Service runs. Nothing in these terms grants you any trademark rights, and nothing here implies that Google sponsors or endorses the Service.

The Service also bundles open-source software under permissive licenses, including llama.cpp and ggml under the MIT License. Copyright and permission notices for those components are distributed with the ToolPiper application, alongside a full copy of the Gemma Terms of Use.

Models you supply yourself, or that you direct the Service to download from a third-party source such as Hugging Face, are governed by whatever license that model carries, and your agreement over that model is with whoever publishes it. Confirming that you have the right to use such a model, for your purpose and in your jurisdiction, is your responsibility and not ours.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. AI model outputs may be inaccurate, incomplete, or biased — you are responsible for evaluating and validating any outputs.

8. Limitation of Liability

To the maximum extent permitted by applicable law, ModelPiper and its contributors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

9. Suspension and Termination

If you breach these terms, including the model license obligations in Section 6, we may suspend or terminate your ModelPiper account and the subscription entitlements attached to it. That is the only enforcement action available to us.

To be explicit about what we do not do:

  • We do not monitor how you use the Service, what you run through it, or what you produce with it. The Service runs locally and reports your use to no one, including us and including the provider of any model it runs.
  • We have no technical means of disabling, restricting, or remotely altering software or model files already installed on your machine, and we will not build one.
  • A model provider cannot reach you through us by any route other than the account-level action described above. We will not act as an enforcement mechanism on their behalf beyond that.

You may stop using the Service at any time. Sections 4, 6, 7, 8, and 11 survive termination, and any model license obligations continue for as long as you keep the model files.

10. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised terms.

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
